Contract Terms and Conditions

The following terms and conditions are included in all contracts with Content First. Research will be accepted as workload permits.

Cost Estimates
Cost estimates are developed according to the pricing list on the previous page.These estimates are available in advance and budget limits will be honored.

Modifications
Modifications to the original Research Agreement description must be in writing and are subject to additional charges.

Payment Schedule
A deposit of half the total costs are required for all research projects. Invoices are to be paid NET 30 days of the invoice date. Overdue accounts will be assessed a monthly finance charge of 8%.

Cancellation
If any part of the project is canceled or postponed prior to completion, the client agrees to pay for all expenses and hours incurred to that point, within 30 days of invoicing.

Copyright/Ownership
Any research data downloaded and stored on magnetic medium by Content First during the project may be erased 30 days after completion of the project or the last billing date, whichever is later. Source of all research material will be documented for informational and copyright reasons.

All material obtained is for research purposes only and is subject to the conditions and restrictions as stated in the U.S. Copyright and Intellectual Property Laws.

Confidentiality/Ethics
Content First respects the confidentiality of all client transactions. Materials, conversations, actions, plans and all other business-related activities shared by the client with any Content First employees will be kept in the strictest confidence. All research is performed in an ethical manner and in accordance with the Codes of Ethics published by the Association of Independent Information Professionals.

Independent Contract Status
Both parties agree that Content First is an independent contractor. This agreement is not an employment agreement, nor does it constitute a joint venture or partnership between Content First and the client.

Releases
Content First will make every reasonable effort to assure the accuarcy of data and research provided to clients. However, Content First accepts no liability for inaccuracies that may occur. The client agrees and understands that Content First is not responsible for either special, consequential, or any other damages arising out of its research, or the client’s reliance on the information gathered. Content First’s liability is limited solely to the cost of the services provided.

Contract Initiation
Receipt of a signed Research Agreement or statement of work confirms that Content First has been contracted by the client and the client agrees to adhere to all terms and conditions as outlined in this document.
